End User License Agreement (EULA)

1. Agreement to Terms

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Vangelder Solutions BV ("Licensor," "we," "us," or "our") for the 360 Portal Connection extension ("Software") for Microsoft Dynamics 365 Business Central.

By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.

2. Grant of License

2.1 License Grant

Subject to your compliance with this Agreement, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use the Software in connection with Microsoft Dynamics 365 Business Central.

2.2 License Scope

This license permits you to:

• Install and use the Software in your Business Central environment
• Configure the Software to connect to your designated portal
• Use the Software's features as documented

3. License Restrictions

You shall not:

• Copy, modify, or create derivative works of the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices from the Software
• Rent, lease, lend, sell, redistribute, or sublicense the Software
• Use the Software for any unlawful purpose
• Use the Software to transmit malware or harmful code
• Attempt to gain unauthorized access to any systems or networks
• Use the Software in a manner that violates any applicable laws or regulations

4. Subscription and Fees

4.1 Pricing

The Software is offered under various subscription tiers. Fees and features for each tier are specified on our website and may be updated from time to time.

4.2 Payment

Payment is processed through our secure portal. You agree to provide accurate billing information and to pay all fees associated with your subscription tier.

4.3 Renewal and Cancellation

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through the portal. No refunds are provided for partial subscription periods.

5. Intellectual Property Rights

The Software and all worldwide intellectual property rights therein are the exclusive property of Licensor. All rights not expressly granted to you in this Agreement are reserved by Licensor.

This Agreement does not grant you any rights to trademarks or service marks of Licensor.

6. Data and Privacy

Your use of the Software is subject to our Privacy Policy, available at 360solutions.be/privacy-policy.

You are responsible for ensuring that you have the necessary rights and consents to share Business Central data with your configured portal through the Software.

7. Warranties and Disclaimers

7.1 Limited Warranty

Licensor warrants that the Software will substantially conform to its documentation under normal use for a period of 90 days from the date of installation.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED ABOVE, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Licensor does not warrant that the Software will be uninterrupted, error-free, or completely secure.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE.

Licensor's total liability under this Agreement shall not exceed the amount paid by you for the Software in the twelve (12) months preceding the claim.

9. Support and Updates

9.1 Support

Licensor will provide reasonable technical support via email at info@vangeldersolutions.be. Support availability may vary by subscription tier.

9.2 Updates

Licensor may provide updates, patches, or enhancements to the Software. You are not obligated to install updates, but some features may require the latest version.

10. Termination

10.1 Termination by You

You may terminate this Agreement at any time by uninstalling the Software and cancelling your subscription.

10.2 Termination by Licensor

Licensor may terminate this Agreement immediately if you breach any of its terms. Upon termination, you must cease all use of the Software and uninstall it from your Business Central environment.

10.3 Effect of Termination

Upon termination, all licenses granted to you will immediately cease, and you must delete all copies of the Software. Sections 5, 7, 8, and 11 of this Agreement will survive termination.

11. General Provisions

11.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions.

11.2 Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements and understandings.

11.3 Amendments

Licensor reserves the right to modify this Agreement at any time. We will notify you of material changes via email or through the Software. Your continued use of the Software after such notification constitutes acceptance of the modified terms.

11.4 Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

11.5 No Waiver

Licensor's failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.

11.6 Assignment

You may not assign or transfer this Agreement or any rights granted hereunder without Licensor's prior written consent. Licensor may assign this Agreement without restriction.

12. Microsoft Business Central

This Software operates as an extension within Microsoft Dynamics 365 Business Central. Your use of Business Central is governed by Microsoft's terms of service. This Agreement is separate from and does not modify your agreement with Microsoft.
